1.1These Terms and Conditions (“Terms”) govern the registration for, access to, participation in and submission of materials in connection with the Sime Darby Property University Hackathon 2026 (“Programme”) organised by Sime Darby Property Berhad (“SDP”).

1.2By:

• (a)registering for the Programme;
• (b)accessing or using the Programme website, platform or any related systems;
• (c)attending any workshop, briefing, mentoring session, evaluation session, pitching session or Programme activity;
• (d)submitting any application, proposal, report, prototype, presentation, software, source code, data, documentation or other materials;
• (e)participating as an individual or as a member of a Team; or
• (f)otherwise taking part in any aspect of the Programme,

1.3each Participant acknowledges and agrees that he, she or it has read, understood and accepted these Terms and agrees to be legally bound by them.

1.4Participants acknowledge that these Terms constitute a legally binding agreement between the Participant and SDP in relation to the Programme.

1.5If a Participant does not agree to these Terms, the Participant must immediately cease participating in the Programme and must not access or use any Programme-related platforms, systems, materials or services.

1.6SDP reserves the right to amend, modify, supplement, update or replace these Terms at any time at its sole discretion. Any such amendment shall take effect upon publication on the official Programme website or through such other means of notification as SDP may determine.

1.7Continued participation in the Programme following any amendment to these Terms shall constitute the Participant’s acceptance of the amended Terms.

1.8Participants acknowledge that the Programme is voluntary in nature and that participation does not create and shall not be construed as creating any employment relationship, partnership, joint venture, agency, consultancy, investment relationship, procurement opportunity or other commercial relationship with SDP.

1.9For the avoidance of doubt, SDP shall retain sole and absolute discretion regarding all matters relating to the administration, implementation, operation and management of the Programme, including all rights expressly reserved to SDP under these Terms.

1.10For the avoidance of doubt, SDP retains sole and absolute discretion regarding all Programme matters where expressly provided under these Terms.

2.1In these Terms, unless the context otherwise requires:

• (a)“Affiliate” means, in relation to a party, any corporation, company, partnership, limited liability entity or other organisation which directly or indirectly controls, is controlled by, or is under common control with that party.
• (b)“Background IP” means any Intellectual Property Rights, software, source code, tools, libraries, frameworks, databases, methodologies, processes, know-how, models, content, documentation or other materials owned, controlled or developed by a Participant prior to participation in the Programme or developed independently of the Programme.
• (c)“Challenge Statement” means any challenge, problem statement, use case, business problem, technical requirement, project brief, theme, question, dataset, information, documentation or requirement issued or provided by SDP in connection with the Programme.
• (d)“Confidential Information” means all non-public information disclosed or made available by SDP or its representatives, whether orally, visually, electronically, in writing or otherwise, including business information, technical information, financial information, commercial information, operational information, customer information, strategic information, datasets, plans, processes, software, systems and Programme Materials.
• (e)“Developed IP” means all Intellectual Property Rights, inventions, discoveries, concepts, works, developments, improvements, software, source code, algorithms, business methods, models, reports, documentation, designs and materials conceived, created, developed, generated, authored, discovered or reduced to practice by a Participant, whether individually or jointly, in connection with the Programme.
• (f)“Final Pitch Day” means the final presentation, demonstration, evaluation or judging stage of the Programme or any equivalent concluding event designated by SDP.
• (g)“Intellectual Property Rights” means all intellectual property rights of every nature throughout the world, whether registered or unregistered, including copyright, patents, patent applications, trademarks, service marks, industrial designs, trade secrets, confidential information, know-how, database rights, moral rights and all rights of a similar nature.
• (h)“Judges” means any individuals appointed by SDP to evaluate Participant Submissions and determine rankings, finalists, winners or prize recipients.
• (i)“Mentors” means any individuals appointed by SDP to provide guidance, comments, educational support, coaching or mentoring services in connection with the Programme.
• (j)“Participant” means any individual who registers for, accesses, participates in or otherwise takes part in the Programme, whether individually or as part of a Team.
• (k)“Participant Submission” means all ideas, concepts, inventions, methodologies, software, source code, applications, algorithms, models, datasets, reports, presentations, prototypes, designs, documents, business plans, pitch decks, materials, content and deliverables submitted, developed, generated, produced or provided by a Participant in connection with the Programme.
• (l)“Programme” means the Sime Darby Property Innovation Hackathon 2026, including all related activities, workshops, mentoring sessions, briefings, assessments, judging sessions, presentations, demonstrations and ancillary activities organised by SDP.
• (m)“Programme Materials” means all materials, content, information, software, systems, datasets, presentations, documents, Challenge Statements and other resources made available by SDP for the purposes of the Programme.
• (n)“SDP” means Sime Darby Property Berhad and includes its subsidiaries, related corporations, holding companies, Affiliates, successors and assigns.
• (o)“Team” means two or more Participants participating collectively in the Programme.

2.2Words importing the singular shall include the plural and vice versa.

2.3References to a person shall include an individual, corporation, company, partnership, government authority, association or other legal entity.

2.4Headings are inserted for convenience only and shall not affect the interpretation of these Terms.

2.5Where SDP is granted any right, discretion, approval, determination, assessment, opinion or decision-making power under these Terms, SDP may exercise such right in its sole and absolute discretion unless expressly stated otherwise.

3.1Participation in the Programme is open only to individuals who satisfy the eligibility requirements determined and published by SDP from time to time.

3.2Each Participant represents and warrants that he, she or it satisfies all eligibility requirements applicable to the Programme and shall remain eligible throughout the duration of the Programme.

3.3SDP reserves the right, at any time and without liability, to verify the eligibility of any Participant and to request such information, documents or evidence as SDP may reasonably require for such purpose.

3.4Participants shall promptly provide any information or supporting documentation requested by SDP, including documents relating to identity, age, educational status, employment status, residency, affiliations or other matters relevant to eligibility.

3.5Where participation is permitted on a Team basis, each Team member must independently satisfy the applicable eligibility requirements unless otherwise specified by SDP.

3.6Participants under the age of eighteen (18) years must obtain the prior written consent of a parent or legal guardian and shall provide evidence of such consent upon request by SDP.

3.7SDP reserves the sole and absolute discretion to determine whether any Participant satisfies the eligibility requirements of the Programme.

3.8Without prejudice to any other rights available to SDP, SDP may at any time:

• (a)refuse or reject any application or registration;
• (b)suspend or restrict participation;
• (c)revoke a Participant’s eligibility status;
• (d)remove a Participant from the Programme; or
• (e)disqualify a Participant,

3.9where SDP determines, or reasonably suspects, that the Participant is ineligible or has failed to comply with these Terms.

3.10Registration for the Programme shall not confer upon any Participant any right or entitlement to participate in the Programme, progress to any subsequent stage, receive mentoring, attend any event, be shortlisted, become a finalist or receive any prize.

3.11The decision of SDP in relation to eligibility and participation shall be final, conclusive and binding, and no correspondence or dispute regarding such decision shall be entertained.

3.12For the avoidance of doubt, SDP retains sole and absolute discretion regarding all Programme matters where expressly provided under these Terms.

4.1All Participants shall complete the registration process in the manner prescribed by SDP and within the timelines specified by SDP.

4.2Participants shall ensure that all information submitted during registration and throughout the Programme is true, accurate, complete, current and not misleading in any respect.

4.3Participants shall immediately notify SDP if any information previously submitted becomes inaccurate, incomplete or misleading.

4.4SDP reserves the right to verify, investigate, audit or otherwise assess the accuracy, completeness and authenticity of any information, representation, declaration, document or material submitted by a Participant.

4.5Participants shall cooperate fully with any verification process conducted by SDP and shall provide all requested information within the timeframe specified by SDP.

4.6Failure to provide requested information or documents within the prescribed timeframe may result in suspension, rejection or disqualification from the Programme.

4.7SDP reserves the right to reject or disregard any registration, application or Participant Submission that is incomplete, inaccurate, fraudulent, misleading, illegible, corrupted, defective or otherwise non-compliant with these Terms or Programme requirements.

4.8Where a Participant provides information on behalf of a Team, such Participant warrants that he or she is authorised to provide such information and bind the Team members to these Terms.

4.9SDP’s determination in relation to any registration, verification process or eligibility assessment shall be final, conclusive and binding.

5.1Where participation is undertaken as a Team, each Team member shall be jointly and severally liable for the acts, omissions, representations, warranties, obligations and undertakings of the Team in connection with the Programme.

5.2Each Team member shall be deemed to have accepted and agreed to these Terms and shall be individually and separately bound by all provisions herein, including those relating to Intellectual Property Rights, confidentiality, publicity, indemnities and liability.

5.3The withdrawal, removal, disqualification or non-participation of any Team member shall not affect the obligations of the remaining Team members or SDP’s rights under these Terms.

5.4Each Team warrants that the Team Representative is duly authorised to communicate and act on behalf of the Team in all matters relating to the Programme.

6.1SDP reserves the right, at any time and in its sole discretion, to determine, amend, modify, postpone, suspend or cancel the format, scope, requirements, Challenge Statements, eligibility criteria, timeline, judging process, evaluation criteria, Programme stages, workshops, mentoring sessions, deliverables, prizes and any other aspect of the Programme.

6.2Participants acknowledge and agree that SDP may make such changes without prior notice where reasonably necessary for the administration, operation, integrity or objectives of the Programme, and no Participant shall be entitled to any compensation, reimbursement or claim arising from any such change.

6.3Participation in any stage of the Programme does not guarantee progression to any subsequent stage, selection as a finalist, receipt of mentoring, receipt of any prize or any future engagement with SDP.

7.1Participants shall not, directly or indirectly:

• (a)interfere with, disrupt, damage or compromise the operation, functionality, security or integrity of the Programme website, platform or any systems used in connection with the Programme;
• (b)upload, transmit or distribute any virus, malware, harmful code, malicious software or other materials intended to disrupt or impair the Programme or any third-party systems;
• (c)scrape, harvest, extract, copy, mine, collect or otherwise obtain data, content or information from the Programme website or platform without SDP’s prior written consent;
• (d)attempt to gain unauthorised access to any account, system, network, database, software, confidential information or restricted area relating to the Programme;
• (e)use the Programme website or platform in any manner that is unlawful, fraudulent, misleading or detrimental to SDP, other Participants or any third party; or
• (f)engage in any activity that may adversely affect the operation, security, availability or reputation of the Programme.

7.2SDP reserves the right to suspend, restrict or terminate a Participant’s access to the Programme website, platform or Programme activities where SDP reasonably believes that such Participant has breached, or is likely to breach, this Clause.

8.1All Challenge Statements, datasets, Programme Materials, content, software, documentation, presentations, materials, information, branding, trademarks and other intellectual property made available by SDP in connection with the Programme shall remain the sole and exclusive property of SDP or its licensors, as applicable.

8.2Nothing in these Terms or a Participant’s participation in the Programme shall transfer, assign or grant to any Participant any ownership, title or interest in or to any Challenge Statement, dataset, Programme Material or other intellectual property belonging to SDP.

8.3Participants shall use such Challenge Statements, datasets and Programme Materials solely for the purposes of participating in the Programme and shall not copy, distribute, reproduce, modify, publish, disclose, commercialise or otherwise exploit the same without SDP’s prior written consent.

8.4Upon request by SDP or upon completion, withdrawal, disqualification or termination of participation in the Programme, Participants shall promptly cease all use of, and where applicable return or permanently delete, any Challenge Statements, datasets and Programme Materials in their possession or control.

9.1Participants are solely responsible for their Participant Submissions and for ensuring that all Participant Submissions comply with these Terms, the Programme requirements and all applicable laws.

9.2Each Participant shall be responsible for the accuracy, completeness, legality, originality and content of any Participant Submission submitted by or on behalf of the Participant or the Participant’s Team, including any software, source code, data, documentation, presentations, prototypes, reports, designs or other materials comprised therein.

9.3Participants acknowledge and agree that any Participant Submission submitted to SDP is made at the Participant’s own risk and that SDP shall not be responsible or liable for reviewing, verifying, validating, monitoring or assessing the accuracy, quality, legality, ownership or suitability of any Participant Submission.

9.4SDP reserves the right, at its sole discretion, to reject, remove, disregard, suspend consideration of or disqualify any Participant Submission that SDP reasonably considers to be incomplete, inaccurate, misleading, unlawful, offensive, inappropriate, non-compliant with these Terms or otherwise unsuitable for the purposes of the Programme.

10.1Each Participant represents, warrants and undertakes to SDP that:

• (a)the Participant has the full right, power, authority and legal capacity to participate in the Programme and to submit any Participant Submission;
• (b)all Participant Submissions are original works of the Participant or are lawfully used, incorporated or submitted pursuant to valid licences, permissions or authorisations;
• (c)the Participant has obtained all necessary rights, consents, permissions and approvals required to submit the Participant Submission and to grant the rights contemplated under these Terms;
• (d)the Participant Submission does not and shall not infringe, misappropriate or otherwise violate any Intellectual Property Rights, privacy rights, confidentiality obligations or other proprietary rights of any third party;
• (e)the Participant Submission does not contain any unlawful, defamatory, fraudulent, misleading, offensive or inappropriate content;
• (f)the Participant Submission is not subject to any restriction, encumbrance, obligation or third-party claim that would prevent or limit SDP from exercising its rights under these Terms;
• (g)all information, declarations and disclosures made by the Participant in connection with the Programme are true, complete and accurate in all material respects; and
• (h)the Participant shall promptly notify SDP if any representation, warranty or undertaking under this Clause becomes inaccurate or misleading at any time during the Programme.

10.2Participants acknowledge and agree that SDP shall be entitled to rely upon the representations, warranties and undertakings set out in this Clause when administering the Programme and exercising its rights under these Terms.

11.1Participants acknowledge and agree that all Intellectual Property Rights in and to any Participant Submission and all Developed IP created, conceived, developed, authored, discovered, reduced to practice or otherwise generated by a Participant, whether individually or jointly with others, in connection with the Programme shall automatically and immediately vest in SDP upon creation.

11.2To the extent that any Intellectual Property Rights in any Participant Submission or Developed IP do not automatically vest in SDP by operation of law, each Participant hereby irrevocably assigns, transfers and conveys to SDP, by way of a present assignment of present and future rights, all rights, title and interest in and to such Participant Submission and Developed IP, including all associated Intellectual Property Rights, throughout the world and for the full duration of such rights.

11.3The assignment under this Clause shall be:

• (a)perpetual;
• (b)worldwide;
• (c)irrevocable;
• (d)royalty-free;
• (e)fully transferable; and
• (f)capable of being sublicensed by SDP.

11.4SDP shall have the unrestricted right, without further consent from or compensation to any Participant, to use, reproduce, modify, adapt, enhance, develop, publish, distribute, commercialise, implement, assign, license, transfer, exploit and otherwise deal with any Participant Submission and Developed IP in any manner whatsoever. Each Participant irrevocably waives, and agrees not to assert, any moral rights in any Participant Submission or Developed IP to the fullest extent permitted by law.

11.5Participants acknowledge and agree that they shall not be entitled to any royalty, licence fee, revenue share, profit share, commercialisation payment, milestone payment, compensation or other consideration arising from SDP’s use, implementation, development, licensing or commercialisation of any Participant Submission or Developed IP, other than any prize expressly awarded by SDP under the Programme.

11.6Participants further acknowledge and agree that SDP shall be entitled to combine, integrate, modify or adapt any Participant Submission or Developed IP with other technologies, systems, products, services, ideas, concepts or intellectual property owned, licensed or developed by SDP or any third party.

11.7Nothing in these Terms shall oblige SDP to use, implement, develop, commercialise, evaluate or otherwise exploit any Participant Submission or Developed IP and SDP may, in its sole discretion, decide whether and how such Participant Submission or Developed IP is used.

11.8Participants acknowledge that SDP may already possess, may independently develop, or may receive from third parties, ideas, concepts, technologies, products or services that are similar or identical to any Participant Submission or Developed IP, and no Participant shall have any claim against SDP in relation to such circumstances.

11.9The rights granted to SDP under this Clause shall survive completion of the Programme and any withdrawal, suspension, termination or disqualification of a Participant.

12.1Participants acknowledge that a Participant Submission may incorporate or rely upon Background IP owned or controlled by the Participant or a third party.

12.2To the extent that any Participant Submission incorporates, depends upon or cannot reasonably be used without any Background IP, each Participant hereby grants, and where applicable shall procure the grant of, a perpetual, irrevocable, worldwide, non-exclusive, transferable, sublicensable and royalty-free licence in favour of SDP to use such Background IP, solely to the extent necessary for SDP to exercise its right in relation to any Participant Submission.

12.3The licence granted under this Clause shall include the right for SDP and its Affiliates to access; use; reproduce; copy; modify; adapt; enhance; integrate; test; develop; commercialise; distribute; publish; assign; and sublicense, such Background IP to the extent necessary for SDP to exercise its rights in relation to any Participant Submission or Developed IP.

12.4Each Participant represents and warrants that:

• (a)the Participant owns or has sufficient rights to grant the licence contemplated under this Clause;
• (b)the use of any Background IP in a Participant Submission does not infringe any third-party rights;
• (c)no contractual restriction, licence condition or other obligation exists that would prevent or materially impair SDP’s exercise of the rights granted under this Clause; and
• (d)all Background IP incorporated into a Participant Submission has been fully and accurately disclosed to SDP.

12.5Participants acknowledge and agree that the licence granted under this Clause shall survive completion of the Programme and any withdrawal, suspension, termination or disqualification of a Participant.

12.6Nothing in these Terms shall obligate SDP to use any Background IP, and SDP shall be entitled to determine, in its sole discretion, whether any Background IP is suitable for implementation, development or commercialisation as part of a Participant Submission.

13.1Participants shall disclose any material use of artificial intelligence tools, machine learning models, large language models, code generation tools or other automated technologies used in the creation or development of any Participant Submission.

13.2Participants represent and warrant that they have the necessary rights to use, submit and transfer any AI-generated content incorporated into a Participant Submission and that such use does not infringe any third-party rights or restrict SDP’s rights under these Terms.

13.3SDP reserves the right to request additional information regarding the use of artificial intelligence tools and may reject, require modification of or disqualify any Participant Submission that fails to comply with this Clause.

14.1Participants represent and warrant that any third-party software, content, datasets, application programming interfaces (APIs), images, documents, tools, frameworks or other materials incorporated into a Participant Submission are lawfully obtained and appropriately licensed for use in connection with the Programme.

14.2Participants shall be responsible for obtaining all necessary rights, licences, permissions and consents required for the incorporation of such third-party materials into a Participant Submission and for granting the rights contemplated under these Terms.

14.3Upon request by SDP, Participants shall provide reasonable details of any third-party materials incorporated into a Participant Submission and the applicable licence or permission under which such materials are used.

15.1The evaluation criteria, judging methodology, scoring process, shortlist selection, finalist selection and determination of winners shall be determined by SDP and/or the Judges in their sole discretion.

15.2All decisions relating to the Programme, including eligibility, evaluation, scoring, rankings, shortlisting, finalist selection, winner selection and prize awards, shall be final, binding and non-appealable.

15.3No correspondence, challenge, review, objection or dispute in relation to any judging decision or Programme outcome shall be entertained by SDP.

16.1Mentors are appointed by SDP solely to provide guidance, feedback, support and general insights to Participants in connection with the Programme.

16.2Participants acknowledge and agree that any views, comments, recommendations or guidance provided by Mentors are for informational purposes only and should not be construed as professional, legal, financial, technical or business advice.

16.3No employment, agency, partnership, fiduciary, advisory, consultancy or other special relationship shall arise between any Mentor and any Participant by virtue of participation in the Programme.

17.1Subject to these Terms and any eligibility requirements prescribed by SDP, the following prizes shall be awarded under the Programme:

17.2SDP reserves the right, at its sole discretion, to amend, substitute, withhold, revoke or discontinue any prize, or vary the number, nature or value of any prize, without prior notice where reasonably necessary.

17.3Prize recipients may be required to provide such information, documents or confirmations as SDP may reasonably require before any prize is awarded or released.

17.4No prize shall be transferable, exchangeable or redeemable for cash unless otherwise determined by SDP. Any taxes, duties, levies, fees or other government charges arising from the receipt or use of a prize shall be borne solely by the prize recipient.

18.1Participants shall keep all Confidential Information strictly confidential and shall use such Confidential Information solely for the purpose of participating in the Programme.

18.2Participants shall not disclose, publish, distribute, reproduce or otherwise make available any Confidential Information to any third party without the prior written consent of SDP, except where required by applicable law.

18.3Participants shall take all reasonable steps to protect the confidentiality of any Confidential Information in their possession or control and shall promptly notify SDP upon becoming aware of any unauthorised access, use or disclosure of such Confidential Information.

18.4The obligations under this Clause shall survive the Participant’s completion of, withdrawal from, disqualification from or termination of participation in the Programme.

19.1Participants acknowledge and consent to SDP collecting, using, processing, storing, transferring and disclosing their personal data for purposes relating to the administration, operation, evaluation, management and promotion of the Programme, including communications, publicity, prize administration and future innovation, engagement or incubation initiatives conducted by SDP.

19.2Participants represent and warrant that any personal data provided to SDP is accurate, complete and up to date and shall promptly notify SDP of any changes to such information.

19.3All personal data shall be processed in accordance with applicable laws and SDP’s Privacy Notice, as may be amended from time to time.

20.1Participants grant SDP and its Affiliates the right to record, photograph, film and otherwise capture their participation in the Programme and to use their names, images, likenesses, voices, biographies, Participant Submissions, presentations and related materials for publicity, promotional, educational, marketing, reporting and communication purposes.

20.2Such use may be made through any media or platform, whether now known or developed in the future, without further consent, notification or compensation to the Participant.

21.1Participants acknowledge and agree that SDP may disclose Participant information, Participant Submissions and other Programme-related materials to sponsors, partners, judges, mentors, service providers, educational institutions, government agencies or other stakeholders involved in the administration, evaluation or operation of the Programme.

21.2Any such disclosure shall be made only for legitimate Programme-related purposes and in accordance with applicable laws and SDP’s policies.

22.1Participants shall not engage in any conduct that may compromise the integrity, fairness, security or objectives of the Programme, including fraud, plagiarism, harassment, discrimination, dishonesty, manipulation of results, unauthorised collaboration, misuse of confidential information or any unlawful or unethical conduct.

22.2Participants shall comply with all instructions, guidelines and requirements issued by SDP from time to time in connection with the Programme.

23.1Participants shall promptly disclose to SDP any actual, potential or perceived conflict of interest that may affect their participation in the Programme or the evaluation of any Participant Submission.

23.2SDP may impose such conditions, restrictions or mitigation measures as it deems appropriate and may disqualify a Participant where SDP determines that a conflict of interest may compromise the integrity or fairness of the Programme.

24.1Participants shall at all times comply with all applicable laws, regulations, governmental requirements and industry standards in connection with their participation in the Programme and the development of any Participant Submission.

24.2Participants shall ensure that their participation in the Programme and all Participant Submissions do not violate any contractual obligations, intellectual property rights, privacy rights, confidentiality obligations or other legal requirements.

25.1SDP reserves the right to immediately suspend, remove or disqualify any Participant or Participant Submission where SDP determines, or reasonably suspects, that the Participant has breached these Terms, provided false or misleading information, engaged in misconduct, infringed any third-party rights or otherwise acted in a manner inconsistent with the objectives or integrity of the Programme.

25.2Any decision made by SDP pursuant to this Clause shall be final and binding.

26.1Nothing in these Terms obliges SDP to:

• (a)implement any Participant Submission;
• (b)enter into any commercial arrangement;
• (c)provide funding;
• (d)provide employment;
• (e)provide incubation support; or
• (f)continue the Programme.

26.2All rights not expressly granted are reserved by SDP.

27.1The Programme is provided on an “as is” and “as available” basis. SDP makes no representation, warranty or guarantee, whether express or implied, regarding the Programme, any Programme Materials, any Participant Submission or any outcome arising from participation in the Programme.

27.2Without limiting the foregoing, SDP does not guarantee selection, progression, funding, implementation, commercialisation, employment opportunities, partnerships or any other benefit arising from participation in the Programme.

28.1To the fullest extent permitted by applicable law, SDP, its Affiliates, directors, officers, employees, representatives, agents, judges and mentors shall not be liable for any loss, damage, claim, liability, cost or expense arising from or in connection with the Programme, including any indirect, consequential, incidental, special or economic loss.

28.2Participants participate in the Programme entirely at their own risk and shall be solely responsible for their own decisions, actions and Participant Submissions.

29.1SDP shall not be responsible or liable for any technical malfunction, system outage, interruption, delay, data loss, transmission failure, internet connectivity issue, software error, corrupted upload or any other technical issue that may affect participation in the Programme.

29.2Participants are responsible for ensuring that their submissions, materials and information are uploaded correctly and within the timelines specified by SDP.

30.1Participants shall indemnify, defend and hold harmless SDP and its Affiliates, directors, officers, employees, representatives, agents, judges and mentors from and against any and all claims, actions, proceedings, losses, liabilities, damages, costs and expenses (including legal fees) arising out of or in connection with:

• (a)the Participant’s participation in the Programme;
• (b)any Participant Submission;
• (c)any breach of these Terms; or
• (d)any infringement or alleged infringement of third-party rights by the Participant.

31.1SDP shall not be liable for any delay, disruption, suspension, modification or cancellation of the Programme arising from events or circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, governmental actions, labour disputes, system failures or interruptions in communications networks.

31.2SDP may take such measures as it considers necessary in response to any force majeure event.

32.1A Participant may withdraw from the Programme by providing written notice to SDP.

32.2Any withdrawal shall not affect any rights, licences, assignments, consents, acknowledgements, confidentiality obligations, indemnities or other provisions that have accrued or are intended to survive completion, withdrawal, suspension, termination or disqualification from the Programme.

32.3For the avoidance of doubt, SDP retains sole and absolute discretion regarding all Programme matters where expressly provided under these Terms.

33.1SDP reserves the right to amend, supplement, update or vary these Terms and any Programme requirements, rules, timelines, criteria, processes or materials at any time.

33.2Any amendment may be published on the official Programme website or communicated through such other means as SDP considers appropriate and shall take effect from the date specified by SDP.

34.1Nothing contained in these Terms or arising from participation in the Programme shall be construed as creating any partnership, joint venture, agency, employment, consultancy, fiduciary or other similar relationship between SDP and any Participant.

34.2Participants participate in the Programme solely as independent participants and shall not represent themselves as acting on behalf of SDP.

35.1These Terms constitute the entire agreement between SDP and each Participant in relation to the Programme and supersede all prior discussions, representations, communications, understandings and agreements relating to the subject matter hereof.

35.2Participants acknowledge that they have not relied upon any statement, representation, warranty or undertaking other than those expressly set out in these Terms.

36.1No failure or delay by SDP in exercising any right, power or remedy under these Terms shall operate as a waiver of that right, power or remedy.

36.2SDP may assign, transfer or novate any of its rights or obligations under these Terms without the consent of any Participant. Participants shall not assign, transfer or otherwise deal with their rights or obligations under these Terms without SDP’s prior written consent.

37.1These Terms shall be governed by and construed in accordance with the laws of Malaysia.

37.2Participants irrevocably submit to the exclusive jurisdiction of the courts of Malaysia in respect of any dispute arising out of or in connection with the Programme or these Terms.
